Terms of Service

This document outlines the terms of service ("Agreement") for the ongoing professional services provided by Extremely Studios, Inc ("we", "us", or "our") to our clients ("you" or "your"). This Agreement becomes effective upon your first subscription payment.

1. Service Overview

We provide ongoing professional creative, design, and development services through a subscription-based model focused on continuous delivery and iterative improvement. Our service is designed to deliver consistent value through regular, focused work on your priorities.

2. Service Model

Your subscription includes:

• Unlimited service requests
• Sequential execution of requests (one deliverable at a time)
• Professional consultation and guidance
• Weekly code deliveries
• Regular status updates
• Direct access to our development team

All requests must be submitted in writing through approved communication channels (email, project management tools, or other agreed-upon platforms).

3. Work Process

We maintain an efficient delivery process designed to maximize value and minimize complexity:

3.1 Delivery Approach:

• We break large requests into smaller, manageable deliverables
• Work is prioritized based on business impact
• We deliver working code weekly
• We focus on one deliverable at a time to ensure quality
• We collaborate with you to identify highest-value items

3.2 Work Management:

• We maintain a queue of prioritized requests
• Large initiatives are broken down into smaller, actionable pieces
• We focus on delivering the most impactful elements first
• Weekly updates keep you informed of progress
• Regular check-ins ensure alignment with your objectives

4. Subscription and Payment

4.1 Service Subscription:

• Services are provided on a rolling monthly basis
• Each payment covers one month of service
• Service continues automatically with each recurring payment
• Work continues uninterrupted as long as payments are current

4.2 Payment Terms:

• Payments are processed automatically via credit card
• Each payment activates service for the following month
• If a payment fails (expired card, decline, etc.), we will notify you immediately
• We continue working until the end of your paid period

4.3 Subscription Management:

• You may pause or cancel your subscription at any time
• Service continues until the end of your current paid period
• Restarting service requires a new payment, which begins a new service period
• No refunds are provided for partial months

5. Intellectual Property Rights

5.1 Ownership:

• You own all intellectual property rights to work created during your subscription period
• This includes all copyrights, patents, trademarks, and trade secrets in the deliverables
• IP rights transfer automatically upon payment
• You receive full rights to all completed work through your paid period

5.2 Our Rights:

• We retain the right to use general knowledge and skills gained during our work
• We may include completed work in our portfolio (unless explicitly excluded by separate agreement)
• We may reference our work relationship for promotional purposes
• We maintain rights to our pre-existing tools, frameworks, and methodologies

6. Confidentiality

6.1 Protected Information: We protect your confidential information with the highest level of care, including:

• Business strategies and plans
• Customer and user data
• Proprietary technologies and methods
• Financial information
• Any other sensitive information shared during our engagement

6.2 Our Commitments: We commit to:

• Using your information solely for providing services to you
• Maintaining strict access controls
• Securing all digital and physical materials
• Never sharing your information with third parties without explicit permission
• Returning or destroying confidential materials upon request

7. Service Warranty

7.1 We warrant that our services will be:

• Performed professionally and competently
• Delivered according to industry best practices
• Free from intentional infringement of third-party rights

7.2 Limitation of Liability:

• Our liability is limited to the amount of your current monthly retainer
• We are not liable for indirect, consequential, or incidental damages

8. Term and Termination

8.1 This Agreement continues on a month-to-month basis until:

• You cancel or pause your subscription
• Payment fails and is not resolved
• Either party terminates the agreement with written notice

8.2 Upon termination or pause:

• We will complete any work in progress through the end of the paid period
• All materials and code will be transferred to you
• You retain all rights to completed work
• You may restart service at any time with a new payment

9. Governing Law and Dispute Resolution

9.1 This Agreement is governed by United States law.

9.2 Any disputes will be resolved through binding arbitration.

10. Updates to Terms

We may update these terms with 30 days' notice to active clients.
